TERMS & CONDITIONS

I. General Card Terms

1. These Terms and Conditions apply only to, and shall govern the use of, the Standard Chartered Priority Banking Visa Infinite Credit Card (“Visa Infinite Card” or “Card”) issued by Standard Chartered Bank Philippines (“Bank”). The Visa Infinite Card is exclusive to Priority Banking customers of the Bank.

2. By signing on and/or using the Card, holders of the Visa Infinite Card (“Cardholders”) expressly agree to be bound by these Terms and Conditions, as the same may be amended, supplemented or superseded from time to time, and by all applicable laws, rules and regulations, as well as policies and procedures of the Bank.

3. The Bank reserves the right, at its sole discretion and without prior notice to the Cardholder, to cancel his/her Visa Infinite Card and/or issue another credit card type or variant, should the Cardholder cease to be a Priority Banking customer of the Bank.

4. These Terms and Conditions shall be read together with the general terms and conditions governing credit cards issued by the Bank from time to time (“General Terms”). Unless the context otherwise requires, terms defined in the General Terms (and not otherwise defined herein) will have the same meaning when used in these Terms and Conditions. In the event of any conflict or inconsistency between the provisions of these Terms and Conditions and the General Terms, these Terms and Conditions shall prevail to the extent of the inconsistency.

II. Rewards Programme

1. Definitions
a. “Eligible Transaction” means any straight retail, non-installment transaction successfully charged to the Visa Infinite Card, provided that the same is not disputed or sought to be cancelled by the Cardholder nor determined by the Bank at its sole discretion to be unauthorized, improper, fraudulent and/or in violation of these Terms and Conditions.
b. “Mileage Program” refers to the Frequent Flyer programs participating in the Rewards Programme wherein Cardholders can redeem their Rewards Points in exchange for airline miles (“Miles”). Participating Frequent Flyer programs include Asia Miles, KrisFlyer and Mabuhay Miles.
c. “Rewards Items” means the items that can be redeemed by using the Rewards Points, subject to the minimum number of points for redemption. Rewards Items may consist of Gift Certificates (“GCs”), Miles, annual fee waivers, cash credits or other items that may be included by the Bank under the Rewards Programme.
d. ”Rewards Programme” refers to the 360o Rewards Programme, a loyalty program of the Bank applicable to Visa Infinite Cards.
e. “Rewards Points” means 360o Rewards Points earned by Cardholders on Eligible Transactions completed using their Visa Infinite Card, subject to the terms and conditions herein. Cardholders earn one (1) Rewards Point for every PhP 10 spend.

2. Eligibility and Participation
a. The Rewards Programme is open to all Cards in active and current status.
b. The Bank reserves the right to, without prior notice to the Cardholder, temporarily or permanently disqualify any Cardholder from further participation in the Rewards Programme if, in the Bank’s judgment, that Cardholder has violated any of these Terms and Conditions or any provision in the General Terms. Disqualification may result in the cancellation of the Cardholder’s right to avail of the benefits and privileges under the Rewards Programme and/or the forfeiture of all earned and accumulated Rewards Points.
c. The Cardholder acknowledges that the Bank’s determination of Cardholder’s eligibility for, and computation of, Rewards Points is final and binding on the Cardholder.
d. Any determination by the Bank that the use of the Visa Infinite Card, any transaction on the same, or the earning or redemption of Rewards Points was fraudulent, unauthorized or improper, may result in the forfeiture of all earned and accumulated Rewards Points and/or cancellation of the Visa Infinite Card.
e. The Bank’s decision on all questions or disputes regarding eligibility for Rewards Points or redemption of Rewards Items shall be deemed final and binding on the Cardholders.

3. Accumulation of Rewards Points
a. All Visa Infinite Cards will earn Rewards Points for all Eligible Transactions made on the Cards.
b. Transactions not eligible for Rewards Points include, but are not limited to, installment, balance transfer, cash advance and other fees and charges such as cash advance fee, overlimit fee, card replacement fee, sales retrieval fee, annual membership fee, finance charges, late charges, interest and other charges.
c. Rewards Points earned on the Primary Card and the related Supplementary Cards shall be consolidated. The accumulated Rewards Points shall be reflected in the Primary Cardholder’s monthly Statement of Account while the Card Account remains active and current.
d. Existing credit cardholders of the Bank who avail of the Visa Infinite Card as an add-on card shall be eligible for the respective distinct rewards programs corresponding to the credit card type owned.
e. Unless cancelled or forfeited in accordance with these Terms and Conditions, Rewards Points earned do not expire and may continue to accumulate so long as the Visa Infinite Card remains active and current.
f. The Bank may make proper adjustments to Rewards Points earned without need of prior notice to or consent of the Cardholder in the event of any improper credit(s) to the Card Account, including but not limited to those arising from returned purchases, charged back transactions and disputed or unauthorized/fraudulent transactions.
g. The Bank may amend the terms and conditions of the Rewards Programme (which may include elimination of the earning or accumulation of Rewards Points on the Card) upon notice to the Primary Cardholder.
4. Rewards Points Redemption
a. Only Primary Cardholders whose Card Accounts are active and current shall be eligible to redeem Rewards Items using Rewards Points earned on the Primary and Supplementary Cards, subject to a minimum redemption of 500 Rewards Points.
b. Only the Cardholder’s accumulated Rewards Points as reflected in the Bank’s system may be redeemed by the Primary Cardholder. Primary Cardholders may call the Bank’s Contact Centre at 830-1111 to inquire about their Rewards Points balance and to redeem Rewards Items. Cardholders may also visit www.standardchartered.com/ph for a list of the Rewards Items.
c. Rewards Items comprising of GCs will be delivered to the Primary Cardholder’s billing address within fifteen (15) calendar days from receipt of redemption request.
d. The Primary Cardholder cannot redeem Rewards Items after closure (whether voluntary or involuntary) of the Primary Card Account. Any remaining unused Rewards Points after closure shall be forfeited.
e. Rewards Points are non-transferable and may not be converted to cash. A Primary Cardholder may pool the Rewards Points earned on all of his/her credit card accounts with the Bank to redeem Rewards Items under the Rewards Programme.
f. Once a valid redemption request has been made, the Primary Cardholder may not cancel, revoke or modify the request.
5. Mileage Program Redemption
a. The Primary Cardholder must be a member of the relevant Frequent Flyer program before Rewards Points can be converted under the Mileage Program. Primary Cardholders can visit the following websites to apply for membership in their chosen Frequent Flyer program: www.asiamiles.com; www.mabuhaymiles.com; and www.krisflyer.com.
b. Primary Cardholders who wish to participate in the Mileage Program must call the Bank’s Contact Centre at 830-1111 and enroll their Frequent Flyer membership accounts under the Mileage Program. Upon enrollment, all of the Primary Cardholder’s credit card accounts as reflected in the Bank’s records are automatically enrolled, except for co-branded cards such as but not limited to Nokia Standard Chartered Card, Infinity Standard Chartered Card and Manulife Standard Chartered Card.
c. Four (4) Rewards Points are required to redeem one (1) Mile.
d. All Asia Miles and Kris Flyer redemptions are subject to a minimum of 500 Miles and in increments of 500 Miles. All Mabuhay Miles redemptions are subject to a minimum redemption of 1,000 Miles and in increments of 1,000 Miles. Thus:

e. Rewards Points can be converted into Miles or other benefits of the participating Frequent Flyer Program. Miles redeemed will be credited to the Frequent Flyer membership account of the Primary Cardholder within six (6) weeks from receipt of conversion request.
f. All Miles redeemed shall further be subject to the terms and conditions of the relevant Frequent Flyer program. Please visit the participating Frequent Flyer program’s website for more information.
g. Airline participation in the Mileage Program is subject to change upon notice.

III. Free Annual Fee Program

1. The annual fee on the Primary Card is waived for the first year and will be waived for the succeeding years provided the Primary Cardholder (a) maintains his/her status as a Priority Banking customer, (b) accumulates a Card spend of PhP 500,000 before the next anniversary month of the Primary Card and (c) keeps his/her Card Account active and current. “Anniversary month” is defined as the month the Primary Card Account was originally approved or opened and corresponds to the month of expiry as reflected in the Primary Card.

2. The annual fee on the Supplementary Cards will be waived for up to five (5) Supplementary Cards, provided the Primary Card Account remains active and current.

3. Spends that are qualified for the Free Annual Fee Program are straight retail transactions, cash advance, and billed installment amortizations, including EZ Pay Installment, EZ Pay Anything, and Balance Transfer, which are reflected on the Statement of Account on or before the next anniversary month. Penalty fees, interest charges, and transactions under dispute/investigation are not qualified for the spend requirement.

4. Any amount exceeding the minimum accumulated spend requirement of PhP 500,000 cannot be carried over to the succeeding period.

5. If the Primary Cardholder ceases to be a Priority Banking customer of the Bank and does not meet the minimum accumulated spend requirement within the relevant period, an annual fee of PhP 5,000 will be charged and billed to the Primary Card Account.

6. Cancellation of the Primary Card for any reason shall not entitle the Primary Cardholder to the Free Annual Fee Program. Should a former Cardholder choose to re-apply for a Visa Infinite Card, his/her previous spends on the cancelled Card may not be used in computing the minimum accumulated spend requirement on the new Card for purposes of the Free Annual Fee Program.

7. Card replacements due to damage, loss, or expiry will not be considered as card cancellation. Cardholders who replace their Cards for any of these reasons will still be eligible for the Free Annual Fee Program subject to meeting the spend and other requirements herein.

IV. Airport Lounge Access Program

1. The Airport Lounge Access Program is open to all Primary Cardholders whose Card Accounts are active and current.

2. The Primary Cardholder and his/her companions must abide by the rules, policies and restrictions of each participating airport lounge. Access to a participating airport lounge may be denied due to space constraints, improper attire, disorderly conduct and such other reasons as the participating airport lounge may deem appropriate.

3. All participating airport lounges are not owned and/or operated by the Bank but by other entities. The Bank makes no guarantee that any privileges, benefits or facilities under the Airport Lounge Access Program will be made available by the participating airport lounge to Cardholders and their companions and the Bank will not be liable in any circumstances whatsoever in relation to the provision, non-provision or insufficiency (whether in whole or in part) of any of the advertised benefits and facilities under the Airport Lounge Access Program.

4. The Bank shall not be held liable to the Cardholder or his/her companions for any loss or injury suffered by them while inside any of the participating airport lounges.

5. Participating airport lounges may impose a maximum stay policy to prevent overcrowding and charge fees for extended stays.

6. Fees stated herein for the use of the participating airport lounges are subject to change without prior notice.

A. In the Philippines
a. Primary Cardholders shall have complimentary access to the MIASCOR Lounge in Ninoy Aquino International Airport (NAIA) Terminal 1 in Manila, subject to a limit of two (2) visits per calendar year. Complimentary visits are non-transferable and non-convertible to cash. Any unused complimentary lounge visits remaining at the end of each calendar year cannot be carried over to the following year.
b. The Primary Cardholder must present his/her active and current Visa Infinite Card and a valid government-issued identification document to MIASCOR Lounge upon each visit.
c. A fee of USD 27 per person per visit shall be charged to the Primary Card Account for any visit to the MIASCOR Lounge (i) by the Primary Cardholder beyond the complimentary two (2) visits per year; (ii) by the Supplementary Cardholder and (iii) by the Cardholder’s companion. The applicable fees shall be reflected in the Statement of Account following the month of the visit.
d. Cardholders are allowed to bring only one (1) companion per visit.
B. When Abroad
a. Primary Cardholders shall have complimentary access to participating Priority Pass airport lounges worldwide, subject to a limit of four (4) visits per calendar year. Complimentary visits are non-transferable and non-convertible to cash. Any unused complimentary lounge visits remaining at the end of each calendar year cannot be carried over to the following year.
b. To gain access to Priority Pass airport lounges, the Primary Cardholder must apply for membership in Priority Pass by calling the Bank’s Contact Centre at 830-1111. Supplementary Cardholders are not eligible to apply for Priority Pass membership.
c. Upon approval of the Priority Pass membership, the Bank will send the Priority Pass Card and Priority Pass welcome pack to the Primary Cardholder’s designated billing address.
d. The Cardholder expressly agrees to abide by the Conditions of Use of the Priority Pass Card included in the Priority Pass welcome pack, as such may be amended from time to time.
e. Validity of the Priority Pass Card is contingent on the validity of the Primary Card. Cancellation of the Primary Card, whether voluntary or involuntary, shall result in the automatic cancellation of the Priority Pass Card.
f. The Primary Cardholder must present his/her valid Priority Pass Card to gain access to a participating Priority Pass airport lounge. No other identification document will be accepted as proof of Priority Pass membership.
g. Visits by the Primary Cardholder beyond the complimentary four (4) visits per year are subject to a fee of USD 27 per visit, which will be charged to the Primary Card Account and reflected in the Statement of Account following the month of the visit.
h. Visits by the Primary Cardholder’s companions are subject to a fee of USD 27 per person per visit, payable directly to, and in the manner prescribed by, the Priority Pass airport lounge. A Supplementary Cardholder cannot access participating Priority Pass airport lounges unless accompanied by the Primary Cardholder.
i. Participating Priority Pass airport lounge details, such as location, operating hours, facilities, etc. may change at any time without prior notice because the airport lounges are operated by independent third parties outside the Bank’s control.
j. The Cardholder shall not communicate directly with the operator of any participating Priority Pass airport lounge on any matters concerning the Priority Pass facility. All queries, complaints, requests for assistance and other matters pertaining to the Priority Pass facility are to be taken up with the administrative staff of Priority Pass (A.P.) Ltd only. The administrative staff of Priority Pass (A.P.) Ltd are located at: Suites 1614-1615, 16/F Cityplaza One, 1111 King’s Road, Taikoo Shing, Hong Kong with telephone no. (852) 2866 1964 and facsimile no. (852) 2865 6850.
k. The Bank shall not be held liable to the Cardholder for any direct or indirect loss in the event of any airport lounge closing or ceasing to participate in Priority Pass at any time.
l. Lost, stolen or damaged Priority Pass Card shall be notified immediately to the Priority Pass office from which the Priority Pass Card was issued or to the Bank. The Cardholder shall be liable for the cost of all lounge visits made using a lost or stolen Priority Pass Card for which a correctly completed Record of Visit voucher has been produced showing that said visits were made before the date and time when Priority Pass (A.P.) Ltd was informed of the loss.
m. Renewal terms and conditions of the Priority Pass Card are at the discretion of Priority Pass (A.P.) Ltd.

V. Travel Accident Insurance and Inconvenience Protection

1. The complimentary Travel Accident Insurance and Inconvenience Protection (collectively, “Insurance”) is available to all Cardholders and their spouses (not more than 70 years old) and dependent children (not more than 18 years old) (collectively, “Family Members”) who travel as passengers on land, sea or air common carrier, and whose fares or tickets have been fully purchased using the Card.

2. Family Members are covered by the Insurance so long as they are traveling with the Cardholder.

3. The Insurance is applicable only to international travels.

4. The Insurance is arranged by the Bank for the Cardholders under the Master Policy (“Policy”) issued by Chartis Philippines Insurance, Inc. (“Insurer”).

5. The Insurance is subject to the terms, conditions and exceptions as stated in the Policy. All endorsements, changes and amendments to the Policy as agreed between the Insurer and the Bank shall be binding on the Cardholder subject to prior notice. VI. Exclusive Privileges at Marriott Manila

1. The Exclusive Privileges at Marriott Manila (“Exclusive Privileges”) is valid from June 16, 2011 to June 30, 2012 and is open to all Cardholders.

2. Payment must be charged to the Card to enjoy the Exclusive Privileges.

3. Exclusive Privileges cannot be exchanged for cash or other items and cannot be used in conjunction with any other discounts, privileges, promotions, discount schemes, loyalty programs, discount cards or vouchers.

4. The 50% discount on suite accommodations is applicable on Marriott Manila’s Best Available Rates and is subject to room availability at the time of reservation. Suite accommodations include buffet breakfast for 2 adults and 2 children below 6 years old.

5. The 30% discount on food and beverage at Marriott Café, CRU Steakhouse and Java+ is applied on the total food and beverage bill only (exclusive of tax and government and service charges) and is valid for breakfast, lunch and dinner. The 30% discount is not valid on the following dates: December 24, 25 and 31, 2011, January 1, 2012 and February 14, 2012, and cannot be used in conjunction with other special promotions.

6. Advance reservation is required to avail of the 50% discount on all spa services and treatments at Quan Spa.

7. The Cardholder is entitled to one (1) free bottle of house wine when dining in any of Marriott Manila’s food and beverage outlets during the Cardholder’s birthday month. Advance reservation is required and is subject to availability.

VII. Global Visa Infinite Privileges

1. The Visa Infinite Concierge Service is provided by a third party supplier. The Bank makes no representations or warranties whatsoever in connection with any access to or usage of the Visa Infinite Concierge Service, including but not limited to, contactability, response times, and/or accuracy, completeness or suitability of any information provided by or through the Visa Infinite Concierge Service.

2. The Bank does not make any warranties or representation on the quality, merchantability, suitability or availability of products and services under the Visa Infinite Privileges.

VIII. Other Terms and Conditions

1. The Bank reserves the right to modify, suspend or terminate any or all of the benefits and privileges stated herein upon prior notice.

2. The Bank’s decision shall prevail in case of dispute in respect of the Cardholder’s eligibility, fulfillment, etc. All questions or disputes regarding the Cardholder’s eligibility for any of the Programs, benefits and privileges specified herein shall be resolved by the Bank or third party supplier, as applicable, at its sole discretion.

3. The Bank does not assume any responsibility for the Rewards Items, benefits and privileges offered under these Terms and Conditions. With the exception of the Free Annual Fee Program, the Rewards Items and other benefits and privileges are provided solely by third party suppliers, under such terms and conditions as determined by such suppliers, and the Bank accepts no liability whatsoever in connection with the Rewards Items, benefits and privileges.

4. Nothing herein shall be construed as giving rise to any agency, partnership or joint venture relationship between the Bank and the third party suppliers.

5. The Bank makes no representation or warranty, nor assume any liability or responsibility, in respect of the Rewards Items, benefits and privileges, including their quality and suitability, as well as the performance of the services by third party suppliers or any of their employees, agents or representatives. Unless otherwise specified herein, any complaints or concerns relating to the condition, quality, suitability or fitness of the Rewards Items, benefits and privileges shall be directed to the relevant third party supplier.
